Distributor Terms & Conditions

To become a distributor for DHANHAR EXIM PRIVATE LIMITED, interested parties must adhere to the following terms and conditions:

1.  Investment & Infrastructure Requirements

  • A minimum initial investment of ₹2-3 Lakhs is required, covering the first stock order, promotional materials, and other initial setup costs.
  • Distributors must have a dedicated storage space of at least 250-350 SQFT that adheres to proper storage conditions to maintain product quality, particularly for

2. Financial & Payment Terms

  • 100% Advance Payment: Full payment must be made before dispatch to ensure smooth transactions and logistics.
  • No Returns Policy: Due to the nature of our products, we do not accept returns once the goods are dispatched. However, Goods Return (GR) of up to 2% of the total annual turnover will be accepted as per the Product Devaluation Policy. Any additional return requests will be rejected.
  • Late Payment Interest: In case of overdue payments, an interest charge of 5% per month will be applicable.

3.  Stock Management & Sales Performance

  • Distributors must maintain an adequate stock level at all times to meet market demand. This includes maintaining stock twice within one month, ensuring at least 50% of the monthly sales stock is available at all For example, if the monthly sales target is ₹2 lakh, the distributor must maintain ₹1 lakh stock on January 1st and another ₹1 lakh on January 15th.
  • Distributors are required to submit monthly stock, sales, and scheme details reports to the company as per the company’s requirements.
  • Quarterly sales targets will be set, and distributors must meet these to retain their distributor status. Failure to meet targets may result in a review of the distribution

  • The distributor’s claims must be submitted in the first week of every month and will be settled at the end of every quarter.

4.  Marketing & Promotional Support

  • Marketing & Promotion: DHANHAR EXIM PRIVATE LIMITED will provide social media promotional support, while distributors are encouraged to invest in local marketing to increase brand visibility and drive sales.
  • Product Training & Business Support: Distributors will receive ongoing training and support, including product training, marketing strategies, and updates on new product launches.

5.  Compliance & Business Ethics

  • Documentation & Reporting: Distributors must submit all required business documents, stock reports, sales statements, and promotional scheme details as per the company’s reporting schedule.
  • Independent Transactions: The company will not be responsible for any cash or other transactions made with any staff of the company.
  • Policy & Price Changes: DHANHAR EXIM PRIVATE LIMITED reserves the right to modify any policies, prices, and sales targets at its discretion.

6.  Contract Terms & Termination

  • Either party (Distributor or Company) can terminate the agreement by providing a one-month written notice.
  • In case of termination, both parties must clear all outstanding dues and settle accounts before the final cancellation of the contract.
  • If a distributor fails to meet the company’s performance expectations, DHANHAR EXIM PRIVATE LIMITED reserves the right to cancel the distributorship without prior notice.
  • Any legal disputes will be subject to distributor’s city court

7.  Territory & Exclusivity

  • Distributors may be granted territorial exclusivity, subject to agreement terms, ensuring no direct competition from other distributors within a defined geographical area.
